1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Sovarium Ltd ("Sovarium," "we," "us," "our"). By accessing or using the Sovarium platform ("Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

2. Description of Services

Sovarium provides an AI-powered data analysis platform that enables organizations to:

  • Query their data warehouses using natural language
  • Generate SQL queries automatically using AI
  • Create data visualizations and insights
  • Build and maintain a semantic layer for business-friendly data access
  • Receive AI-generated explanations and recommendations

We may offer professional services for semantic layer setup, data modeling, and platform training as part of your enterprise agreement.

3. Accounts

3.1 Account Creation

Accounts are created for companies during onboarding.

3.2 Account Administrator

Each account must designate at least one account administrator responsible for managing user access, data source connections, and organization settings.

3.3 User Responsibility

Your organization is responsible for all activity that occurs under your account. You must ensure that all users comply with these Terms and maintain the security of login credentials.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Attempt unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers/networks connected to the Services
  • Reverse engineer, decompile, or disassemble any portion of the platform
  • Violate the privacy or data protection rights of individuals
  • Share account credentials with unauthorized individuals
  • Use automation tools to scrape, copy, or extract data from the platform
  • Circumvent usage limits or restrictions imposed by your subscription plan

5. Data and Privacy

5.1 Your Data

You retain all rights to your data. By using the Services, you grant us a limited license to process your data solely to provide the Services as described in our Privacy Policy.

5.2 Data Processing

Our data processing practices are detailed in our Privacy Policy. Key points:

  • Raw query results are never stored—only aggregated insights
  • AI models only access schema metadata and aggregated data, never row-level records unless specifically requested.
  • All database credentials are encrypted with AES-256-GCM

5.3 Data Protection Agreement

For customers subject to GDPR or other data protection regulations, a Data Processing Agreement (DPA) is available upon request. Contact legal@sovarium.com to execute a DPA.

6. Intellectual Property

6.1 Our Intellectual Property

Sovarium and its licensors own all rights, title, and interest in the Services, including all software, algorithms, designs, and documentation. We grant you a limited, non-exclusive, non-transferable license to use the Services during your active subscription period.

6.2 Your Content

You retain ownership of all data, queries, semantic layer configurations, and other content you create or upload to the Services. We do not claim ownership of your content.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, we may use them without obligation or compensation to you.

7. Payment Terms

Fees and payment terms are specified in your contract agreement. General payment terms:

  • Fees are based on your contracted subscription plan and usage
  • Fees are non-refundable except as required by law
  • Payment is due net 30 days from invoice date unless otherwise specified
  • All fees exclude applicable taxes, which are your responsibility

Failure to pay fees may result in suspension or termination of access to the Services.

8. Service Levels

Service level commitments are specified in your enterprise agreement. Standard service levels include:

  • Support: 24/7 priority support for enterprise customers
  • Contact: Dedicated customer success contact for onboarding and ongoing support

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that:

  • The Services will perform substantially as documented
  • We will provide the Services with reasonable skill and care
  • We will maintain industry-standard security measures

9.2 Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS-IS" AND "AS-AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated SQL queries and insights should be reviewed before business-critical use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVARIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations do not apply to liability arising from: (a) breach of confidentiality obligations, (b) failure to pay fees, or (c) willful misconduct or gross negligence.

11. Indemnification

You agree to indemnify and hold harmless Sovarium from any claims, losses, or damages arising from:

  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your data or content uploaded to the Services
  • Disputes with your end users or third parties

12. Term and Termination

12.1 Term

These Terms remain in effect for the duration of your subscription, as specified in your enterprise agreement.

13. Confidentiality

Each party agrees to protect the other party's confidential information using at least the same degree of care as it uses for its own confidential information. Confidential information does not include information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is rightfully obtained from a third party.

14. Changes to Terms

We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes via email or through the platform. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. General Provisions

  • Entire Agreement: These Terms, together with your enterprise agreement and Privacy Policy, constitute the entire agreement between you and Sovarium.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control (e.g., natural disasters, wars, pandemics).
